TERMS OF SERVICE

Last Updated: September 6, 2026

1. About This Website

Welcome to the Splendidaire website. These Terms of Service ("Terms") govern your use of this website and any purchases you make through it, including digital music downloads and physical merchandise.

By accessing or using this website, or placing an order, you agree to these Terms. If you do not agree with these Terms, please do not use the website or place an order.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order or agree to these Terms. If you are under that age, you may use this website and make purchases only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

3. Digital Downloads

Digital products may include music files, albums, EPs, singles, and other digital content, including files provided in MP3, WAV, or other audio formats.

When you purchase a digital product, you receive a limited, non-exclusive, non-transferable license to download and use the content for your personal, non-commercial use only. This license permits you to make reasonable personal backup copies and to transfer purchased files between devices you personally own or control, solely for your own listening use.

Purchasing or downloading music from this website does not transfer ownership of or grant any rights in the underlying musical composition, lyrics, master recording, or other intellectual property owned by Splendidaire.

Without prior written permission from Splendidaire, you may not:

  • Resell, redistribute, sublicense, rent, or otherwise commercially exploit purchased digital files.

  • Share, upload, or distribute purchased files through file-sharing services, unauthorized websites, or other platforms.

  • Use the music in films, television programs, advertisements, commercials, video games, podcasts, websites, social media campaigns, or other audiovisual works for commercial or public purposes.

  • Synchronize the music with visual media.

  • License, sublicense, assign, or grant any third party rights to use the music.

  • Claim ownership of the music, master recordings, compositions, lyrics, artwork, or other content.

  • Register the music or recordings with a third-party content identification, fingerprinting, or rights-management service in a manner that could result in a claim of ownership or control over Splendidaire's rights.

  • Modify, reproduce, distribute, or otherwise exploit the content beyond the rights expressly granted by these Terms or applicable law.

Cover Songs

Some digital or physical products offered on this website may be cover recordings of musical compositions written by other songwriters. For these recordings, Splendidaire has obtained a mechanical license (or relies on a compulsory mechanical license under applicable law) permitting the reproduction and distribution of that composition as a sound recording.

For cover songs, Splendidaire owns the copyright in the specific master recording (the sound recording you purchase), but does not own and cannot grant any rights in the underlying musical composition or lyrics, which remain the property of the original songwriter(s) and/or publisher(s).

A mechanical license covers audio reproduction and distribution only. It does not include synchronization rights, public performance rights, or any right to sublicense the composition. Accordingly, the restrictions in Section 2 and the sync-licensing terms below apply to cover recordings as well, and any commercial or audiovisual use of a cover song requires separate permission from the composition's rights holder, which Splendidaire cannot provide.

Synchronization and Commercial Licensing

A digital download purchase does not include synchronization ("sync") licensing or any other commercial-use rights.

If you would like to use Splendidaire music in a film, television program, advertisement, commercial, video, game, online campaign, social media campaign, or other audiovisual production, you must obtain prior written permission and an appropriate license from Splendidaire before using the music. For original Splendidaire compositions, Splendidaire can grant both master and sync rights. For cover songs, Splendidaire can only license rights in its own master recording; you would also need to separately obtain permission from the composition's rights holder before any sync or audiovisual use.

Splendidaire owns the rights to the master recordings for all songs offered on this website. For original Splendidaire compositions, Splendidaire also owns the underlying musical compositions and lyrics. For cover songs, the underlying composition and lyrics are owned by the original songwriter(s) or publisher(s), as described above. Any use requiring a master recording license, synchronization license, mechanical license, or other commercial license must be authorized accordingly, by Splendidaire and/or the applicable composition owner.

For sync licensing, commercial use, or other licensing inquiries, please email contact@splendidaire.com.

All copyrights and other intellectual property rights in the music, master recordings, compositions, lyrics, artwork, and related content remain the property of Splendidaire, except for the underlying compositions and lyrics of cover songs, which remain the property of their respective original songwriter(s) or publisher(s).

Digital Product Refunds

Because digital products can be accessed immediately after purchase, digital downloads are generally non-refundable once the download has been made available or accessed, except where required by applicable law.

If you experience a technical problem with your download, please email contact@splendidaire.com and we will make reasonable efforts to help resolve the issue.

4. Physical Products

We may occasionally offer physical products, including vinyl records and other merchandise. Many physical products are produced in limited quantities or as one-time pressings.

Product availability may be limited. We reserve the right to limit quantities, allocate stock, or discontinue products at any time, and we do not guarantee that any limited-run or discontinued product will be restocked.

We make reasonable efforts to accurately display product descriptions, photographs, colors, and other information. However, minor differences between photographs and the actual product may occur, including minor variations inherent to vinyl pressing, packaging, or hand-finished elements.

Your purchase of a physical product does not grant you any rights in the underlying music, artwork, or other intellectual property beyond the physical item itself, as described in Section 9 (Copyright and Intellectual Property).

5. Orders and Payment

By placing an order, you agree to provide accurate and complete billing, shipping, and contact information.

All prices are listed in U.S. dollars unless otherwise stated, and do not include applicable sales tax, which will be calculated and added at checkout where required by law.

We reserve the right to correct pricing errors, product descriptions, or other inaccuracies and to cancel an order affected by an obvious error.

An order is not considered accepted until payment has been successfully processed and, where applicable, the order has been confirmed or shipped.

6. Shipping

Physical orders are shipped to the address provided during checkout.

You are responsible for providing an accurate shipping address. We are not responsible for delays or delivery problems caused by an incorrect or incomplete address provided by the customer.

Shipping times are estimates and may vary due to postal delays, weather, holidays, customs processing, or other circumstances outside our control.

For international orders, the customer may be responsible for customs duties, import taxes, VAT, or other fees imposed by the destination country.

7. Returns and Refunds for Physical Products

If a physical product arrives damaged, defective, or substantially different from what was ordered, please email contact@splendidaire.com as soon as reasonably possible after delivery.

Please include your order number and, when applicable, photographs showing the condition of the item.

Refunds, replacements, or other resolutions will be handled on a case-by-case basis and in accordance with applicable law.

Unless otherwise stated on the product page, we do not accept returns simply because a customer changes their mind or no longer wants the product.

Limited-edition or clearance merchandise may be subject to additional return restrictions, which will be disclosed at the time of purchase.

8. Preorders and Limited Releases

Some physical products may be offered as limited releases or preorders.

If you purchase a preorder, the estimated shipping or release date will be provided on the product page when available. Dates are estimates and may change due to manufacturing, production, or shipping delays.

Where a product is described as a limited or numbered edition, quantities and any numbering are approximate, subject to normal manufacturing variance, and are not a guarantee of investment value or future resale price.

If a preorder is substantially delayed or cancelled, we will provide information regarding available options, which may include a refund where appropriate.

9. Copyright and Intellectual Property

All music, master recordings, musical compositions, lyrics, artwork, photographs, graphics, logos, text, and other content on this website are owned by Splendidaire and are protected by copyright and other applicable intellectual property laws, except as noted below for cover song compositions.

This website may offer cover recordings of songs written by other songwriters, released under a mechanical license. For those recordings, Splendidaire owns the master recording (the specific sound recording sold), but the underlying musical composition and lyrics remain the property of the original songwriter(s) or publisher(s) and are not owned by Splendidaire. See Section 3 (Digital Downloads — Cover Songs) for details.

The Splendidaire name (pronounced "splendid-air") and any associated logos are trademarks or trade names of Splendidaire and may not be used without prior written permission.

Purchasing a digital download, vinyl record, or other merchandise does not transfer ownership of the underlying copyrights or intellectual property to you. This does not affect your right to resell your own physical copy of a purchased item as a used good.

You may not reproduce, distribute, publicly exploit, or commercially use website content or music except as permitted by law or with appropriate authorization.

10. Website Use

You agree not to use this website for unlawful purposes or in a way that could damage, disable, overburden, or interfere with the website or its operation.

We reserve the right to refuse service, cancel orders, or restrict access to the website where reasonably necessary, including in cases of suspected fraud or abuse.

11. Third-Party Services

This website may use third-party services for payment processing (including Stripe and PayPal), website hosting, shipping, digital delivery, analytics, email communications, or other functions.

Your use of those services may also be subject to the applicable third party's terms and policies.

12. Disclaimer of Warranties

This website and its content are provided on an "as is" and "as available" basis to the extent permitted by law.

To the fullest extent permitted by applicable law, Splendidaire disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Website will always be available, uninterrupted, error-free, or free from viruses or other harmful components. However, if you experience a technical problem accessing a digital purchase, please email contact@splendidaire.com, and we will make reasonable efforts to help restore access or provide the purchased file.

Nothing in these Terms is intended to exclude or limit any rights or protections that cannot legally be excluded or limited under applicable law.

13. Limitation of Liability

To the fullest extent permitted by law, Splendidaire will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the website or purchase of products, except where such liability cannot legally be excluded.

Our total liability relating to a particular purchase will not exceed the amount you paid for that purchase, except where otherwise required by applicable law.

14. Indemnification

You agree to indemnify and hold Splendidaire harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of digital or physical products, or your infringement of any intellectual property or other rights of a third party.

15. Termination

We may suspend or terminate your access to the website, and revoke any license granted under these Terms, if we reasonably believe you have violated these Terms, including through unauthorized use, reproduction, or distribution of purchased digital content. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

16. Force Majeure

Splendidaire will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including manufacturing delays, vinyl pressing plant backlogs, natural disasters, labor disputes, shipping carrier disruptions, or other similar events.

17. Dispute Resolution; Arbitration; Governing Law

If a dispute arises, we encourage you to first contact us so we can attempt to resolve it informally. Most concerns can be resolved this way.

Agreement to Arbitrate

If a dispute cannot be resolved informally within 60 days, you and Splendidaire agree that the dispute will be resolved by binding arbitration on an individual basis, rather than in court, except as set out below. Arbitration will be administered by a recognized arbitration provider (such as the American Arbitration Association) under its consumer arbitration rules then in effect, and may be conducted based on written submissions alone for smaller disputes where the provider's rules allow.

Class Action Waiver

You and Splendidaire agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Exceptions

Notwithstanding the above, either party may instead bring an individual action in small claims court for qualifying disputes, and Splendidaire may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property rights.

30-Day Opt-Out

You may opt out of this arbitration agreement by emailing contact@splendidaire.com within 30 days of first accepting these Terms, stating that you decline to be bound by the arbitration and class action waiver provisions. If you opt out, disputes will instead proceed in the courts identified below, and all other provisions of these Terms will remain in effect.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise. For any dispute not subject to arbitration (including under the exceptions or opt-out above), the state or federal courts located in California will have exclusive jurisdiction, except where applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this website with a revised "Last Updated" date.

Your continued use of the website after changes are posted constitutes acceptance of the updated Terms.

19. General Provisions

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with any policies referenced herein, constitute the entire agreement between you and Splendidaire regarding your use of the website and purchases made through it.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, sale, or transfer of our business.

20. Contact

If you have questions about these Terms, an order, a digital download, or a physical product, please email contact@splendidaire.com.
